1. Who we are
These Terms are an agreement between you and Clippingli. Clippingli is the seller of the software, the operator of clippingli.com, and the only contracting party. In these Terms, “Clippingli”, “we”, “us”, and “our” mean that party.
There is no parent company, subsidiary, holding company, or other legal entity behind Clippingli. We have not incorporated under another company name. AWS, a payment processor, OpenAI, and similar vendors are not the seller and are not a party to this contract.
Clippingli has no registered office and no street address. We do not publish a postal address because we do not have one. The service address for legal notices is email: legal@clippingli.com. A notice sent to that address is valid notice to us. Product support: support@clippingli.com. Privacy: privacy@clippingli.com.
We operate Clippingli from Karachi, Pakistan. Governing law and venue are set out in Section 27 (Pakistan, courts at Karachi), except where mandatory consumer law in your country cannot be waived.
2. The documents that apply
By using this website, downloading an installer, buying a license, activating a key, or installing the app, you agree to:
- these Terms of Use
- the Privacy Policy
- the Refund Policy
If you do not agree, do not buy, download, or use the product.
Order of precedence. For refunds, the Refund Policy controls if it conflicts with these Terms. For personal data, the Privacy Policy controls if it conflicts with these Terms. A separately signed written agreement with us (if we ever issue one) controls over these Terms for that conflict only. Checkout, invoices, and marketing copy do not override these three documents unless mandatory law says they must.
Third-party terms (OpenAI, YouTube, a payment processor, your OS vendor) are separate. We are not a party to those contracts.
3. Eligibility
You must have legal capacity to enter a binding contract where you live. If you buy or use Clippingli for an organization, you represent that you have authority to bind that organization. The site and the app are not directed at children.
4. The product
Clippingli is desktop software for Mac and Windows. It helps you turn a YouTube URL or a file on disk into short clips, captions, and related copy on the licensed computer. Current commercial features are described on the product pages. Those pages are not contractual promises of a fixed feature set.
We do not host cloud clipping of your master video. Clipping runs on your machine. AI features call a provider you configure (typically OpenAI) from your machine with your key, as described in Section 14 and the Privacy Policy. Optional Clippingli online pieces are license checks, installer and update delivery, this website, email, and agency preview files you choose to upload. “Source video is not uploaded for clipping” means we do not take the master onto a Clippingli render farm. It does not mean nothing ever leaves the device.
We do not guarantee views, revenue, ranking, or performance on any platform.
5. What “lifetime license” means
The commercial offer is a one-time payment (currently $199, list $300) for a Clippingli Desktop License. You do not pay us a monthly or yearly subscription for that license.
“Lifetime” means the period during which the current Clippingli desktop product is commercially offered and supported by us, and you comply with these Terms. During that period you may use the then-current licensed copy on allowed devices without a further license fee to us.
A lifetime license does not mean the software, our online services, or third-party integrations will be available forever. In particular it does not guarantee that:
- Clippingli will keep operating, or that license-verification servers will stay up indefinitely (see Section 8)
- every feature, caption theme, language, batch limit, or integration will remain available
- OpenAI, YouTube, macOS, Windows, or other third parties will keep working with the app
- agency preview links or other online extras will be hosted indefinitely
- support will be staffed forever
A lifetime license is a license to use the software. You do not buy the copyright in the app. You do not buy an equity interest in Clippingli.
6. License grant
If you hold a valid, paid, unblocked key, we grant you a limited, non-exclusive, non-sublicensable license to install and use the app for your personal or commercial content-production work, including work for clients, an employer, or a studio. That is the intended use. You may not resell, rent, white-label, or redistribute the app itself, or share the key outside your organization.
The license belongs to the purchaser we have on file: an individual, or an organization if that is who paid. People in that organization (employees, contractors acting for it) may use the licensed seats internally. If an employee leaves, the organization may keep using the license on machines it controls. Replacing a computer you or the organization control is allowed under Section 7. Non-transferable means you may not sell, gift, or assign the key to an unrelated third party as a standalone item, and you may not list it for sale. A merger or sale of the purchasing organization may include the license with that business; write to support@clippingli.com so we can update the account email.
We may suspend or terminate the license only if you: materially breach these Terms; commit fraud, chargeback abuse, or payment theft; share or traffic keys; circumvent licensing, updates, or security; or use the app in a way these Terms expressly prohibit. We will not revoke a paid license merely because we later change our product roadmap.
After a valid termination or refund, you must stop using the app. Online recheck will then refuse the key as described in Section 7.
7. Activation, devices, and online recheck
You activate with the key and the email used at purchase (or the email we have on file). The app records a machine identifier and instance name and may contact our verify endpoint.
While online, the app rechecks the license about every 72 hours. If the machine is offline after a successful check, the app may keep working for up to 14 days, then lock until it can recheck. This is a product limit, not a hidden extra fee. If you need the app on an air-gapped machine for longer than 14 days, this product is not designed for that.
Reinstalling on the same computer, or moving to a replacement computer you control, is allowed. Sharing one key across unrelated people or public machines is not. We may enforce a device limit; if we do, it will be stated on the license page at purchase. Hardware changes can look like a new machine.
If our license server is temporarily down, the app may keep working under the 14-day grace after the last good check. That is not a waiver of these Terms.
8. If Clippingli shuts down or we discontinue the product
A lifetime license still depends on periodic online verification while we operate (Section 7). If we discontinue Clippingli, stop selling it, or stop running activation, verification, updates, or preview hosting:
- already installed copies may keep working only until the 14-day offline grace after the last successful check, then the app will lock if it cannot recheck
- we are not obliged to publish a permanent offline unlock, escrow the source code, or keep servers running
- this website, email, update feeds, and agency preview links may stop
- OpenAI, YouTube, and other third-party APIs may stop regardless of us
Buy only if that risk is acceptable. The one-time price is for a small desktop product with a license check, not a promise of perpetual infrastructure.
9. Price, seller, and payment
Clippingli is the seller of the software license. We are not currently using a third-party merchant of record. When online checkout is enabled, a payment processor we appoint may collect card details and pay out to us. That processor is not the seller of the app. Until checkout is live, we may complete a sale by invoice or email; you still contract with Clippingli.
Taxes: we collect and remit tax only where the law requires us to. You are responsible for taxes that apply to you if we are not required to collect them.
An authorized purchase is one we confirm (payment received and a key issued by us). Unauthorized keys are void.
When we email the key, we are supplying the digital product. Keep the key and the purchase email.
10. Refunds
Refunds are governed by the Refund Policy, which forms part of these Terms. In short: you may request a refund within seven (7) calendar days of purchase, as set out there. After we refund, we disable the key. Chargebacks after a valid sale may be treated as payment abuse.
If mandatory law in your country gives you a longer or different cooling-off right (for example certain EU/UK consumer rules for digital content), that law applies to the extent it cannot be waived. Where the law lets you lose a withdrawal right because you asked us to supply the key immediately, our 7-day commercial refund still applies as written in the Refund Policy unless that law requires more.
11. Support and updates
Paid licenses include reasonable email and on-site chat support for install, activation, and product questions, during the period we commercially offer Clippingli. We do not promise response times, 24/7 coverage, or support after we discontinue the product.
The app may check for and install updates. We may add, change, or remove features, raise system requirements, or ship security fixes. Bug and security updates are in our discretion. We may retire a feature if a third party changes their API or the feature is unsafe or unlawful to keep. A lifetime license is not a freeze of the product as it existed on the purchase date.
We will not use an update solely as a trick to take away the core local clipping function from a paid, non-breaching licensee while we still commercially offer the product - without a refund or a successor path we consider reasonable. That is not a warranty of identical menus forever.
12. Your content and copyright
You keep the rights you already have in your files and outputs. Clippingli does not grant you rights in other people’s YouTube videos or other works. Captions, crops, speed changes, and branding do not create a copyright license or a fair-use defense. You must have all rights needed to download, process, overlay, and publish the material, including music, footage, likenesses, and marks.
You are responsible for complying with YouTube and any other platform’s terms. Accepting a URL in the app is a technical convenience, not permission to copy the work.
Local processing. For work that stays on your computer, you do not grant us a license in your content beyond what is technically unavoidable (for example, a license key or a job title you send in telemetry).
Agency preview. If you upload preview clips or comments to our server, you grant Clippingli a limited, non-exclusive, worldwide license to host, store, transmit, and display those preview files and comments solely to provide that review link, for the period in Section 13. We do not claim ownership of those files.
13. Agency preview links
Preview links are optional. They store preview renders and comments, not your source timeline. Links are unlisted (anyone with the token can open them). Default expiry is 14 days unless you set another period in the app. We may delete files after expiry, after you close the review, or if we shut the feature down. You can ask us to delete a review by emailing support@clippingli.com. Do not put illegal or non-consensual material on a preview link.
14. OpenAI and what leaves your computer
Some features need an API key you supply (typically OpenAI). That key is stored only on that computer. We do not need it on our servers for ordinary clipping. You must only use a key you are authorized to use. You pay the provider. You must follow their terms. We do not control their prices, filters, or uptime.
When those features run, data goes from your machine to the provider, not through us as the AI vendor. The Privacy Policy describes that those features send the audio and text they need. That is not an upload of your master video to Clippingli for clipping. Treat “on-device processing” as: we do not take the master for our render farm; AI features still send what they need to the provider you configured.
See also the OpenAI key guide.
15. Third-party services
Clippingli may interoperate with third-party services, including AI providers, video platforms, hosting providers, email providers, DNS, operating systems, and payment providers. Those services are controlled by their respective providers and may be subject to separate terms and privacy policies. We are not responsible for changes, interruptions, pricing, filters, account actions, or failures of third-party services. We do not guarantee the legality of a particular URL you paste, or continued compatibility with any third party.
16. The website
clippingli.com is marketing, installers, license information, contact, and first-party analytics. Do not attack, scrape in an abusive way, or misuse admin, API, or download endpoints.
17. Acceptable use
You agree not to use the site or the app to:
- violate law, including copyright, privacy, publicity, or export rules
- create or spread malware, scams, or non-consensual intimate imagery
- exploit minors
- impersonate people with deceptive deepfakes where that is unlawful or these Terms forbid it
- bypass license, update, or security controls, or attack our services
- share keys, or run the app as a public unlicensed bureau that resells our software
18. AI outputs
Titles, captions, hooks, and scores are machine drafts. They can be wrong. Review them before you publish. They are not legal, medical, or financial advice.
19. Backups
You are responsible for backing up source files, projects, exports, keys, and the licensed machine. We are not your backup service. Uninstall, disk failure, or a locked license can make local work unavailable.
20. Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND THE APP ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that every file will render, or that every GPU, OS, or third-party API will work.
Mandatory rights. Nothing in these Terms excludes liability or rights that the law of your country does not allow to be excluded - including, where they apply, consumer statutory guarantees, liability for fraud or willful misconduct, and liability for death or personal injury caused by negligence. If you are a consumer in the EEA or UK, statutory rules on digital content and services may give you remedies we cannot contract away.
21. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR PLATFORM PENALTIES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE, THE APP, OR A LICENSE WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID US FOR THE LICENSE GIVING RISE TO THE CLAIM.
Some places do not allow these limits. There, our liability is limited to the fullest extent permitted. This section does not limit the Refund Policy.
22. Indemnity
You will defend and indemnify Clippingli against claims, damages, and reasonable legal costs arising from: (a) your content, where the claim is that you lacked the rights to process or publish it; (b) your unlawful use of the site or the app; (c) your material breach of these Terms; or (d) your infringement of someone else’s rights. This does not require you to indemnify us for our own fraud, willful misconduct, or a defect we caused that the law does not let us pass to you. It does not cover claims that arise solely from our operation of the site or the app independent of (a)–(d).
If we receive a claim we believe is covered: we will give you prompt notice by email; you will control the defense and settlement; we will reasonably cooperate (at your cost); we may participate with our own counsel at our cost. You may not settle a claim that admits fault by us or imposes a non-monetary obligation on us without our written consent, not to be unreasonably withheld. If you fail to assume the defense after notice, we may defend and recover reasonable costs from you.
23. Termination
You may stop using the product at any time. We may suspend or terminate as in Section 6. Survival: Sections 5, 8, 12, 14, 18–22, and 24–29 survive termination, along with any other clause that by nature should survive.
24. Changes to these Terms
We may update these Terms. The “Last updated” date will change.
Non-material changes (clarifications, formatting, contact details, or changes that do not reduce your paid license rights) take effect when posted.
Material changes (changes that reduce your paid license rights, shorten the refund window for new purchases only, or change how verification works going forward) take effect after we post them and, where practical, give reasonable advance notice in the app or by email to the address on the license. We will not change the price you already paid. We will not shorten the refund window for a purchase already completed.
If you bought a license, the Terms in effect on the purchase date continue to govern that purchase except: (i) you agree to a later version, (ii) we must change a clause because the law changed, or (iii) the change is required to stop abuse or a security issue. Continued use of the website after a posted change is acceptance of the new Terms for website use only, not a rewrite of your completed purchase except as (i)–(iii).
25. Assignment
We may assign these Terms in a merger, acquisition, or sale of the Clippingli business. You may not assign except as Section 6 allows for an internal business transfer. Any other attempted assignment by you is void.
26. Force majeure
We are not liable for delay or failure caused by events beyond reasonable control, including outages at AWS, OpenAI, YouTube, DNS, or payment networks, or law, war, or disaster.
27. Governing law and disputes
Except where mandatory consumer law in your country requires otherwise, these Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law rules.
Except where that same mandatory law requires a different forum (including your local consumer courts or a right to sue in your country of residence), the courts at Karachi, Pakistan have exclusive jurisdiction. We may still seek injunctive relief anywhere to stop IP infringement, key trafficking, or abuse of our systems.
Before filing a claim, email legal@clippingli.com with a short description and a way to contact you. We will try to resolve it informally within 30 days. This does not limit urgent injunctive relief or any non-waivable consumer procedure.
28. General
These Terms, the Privacy Policy, and the Refund Policy are the entire agreement for the site, the app, and the license, and replace prior informal statements on the same subject. If a clause is unenforceable, the rest remains. A waiver must be in writing; failure to enforce once is not a waiver. Nothing here creates a partnership or employment. Notices by email to the address we have for you, or posted on this site, are sufficient. Headings are for reading convenience only.
Electronic records and clicks (buy, activate, accept) satisfy writing and signature requirements where the law allows.
